Helix Labs × Ethereal Cosmetics is a single brand and a single operator with one product catalogue, one order process, and one set of policies, including these Terms. The name reflects the merger of two former brand presentations. References to "we", "us", or "our" mean the operator of this site.

These Terms apply to every visitor and every purchaser. Additional notices shown at specific points on the Site — for example, the research-use-only confirmation you accept before entering, product-specific handling notes, or shipping information given in the chat or on your payment link — form part of these Terms. If there is a conflict, the more restrictive research-use-only language prevails.

In these Terms, "Products" means the research compounds and related items offered on the Site, and "you" means the individual or entity accessing the Site or placing an order.

By accessing, browsing, or using the Site, and by confirming the research-use-only and age notice presented when you enter, you acknowledge that you have read, understood, and agree to be bound by these Terms and by all policies referenced in them. If you do not agree, you must not access or use the Site or purchase any Product.

If you are accepting these Terms on behalf of a company, institution, or other organisation, you represent that you have the authority to bind that organisation, and "you" refers to that organisation.

You may use the Site and purchase Products only if all of the following are true: you are at least 18 years of age; you have the legal capacity to enter into a binding contract; and you are a qualified researcher, or are purchasing on behalf of a qualified research organisation or institution, acquiring Products solely for lawful research purposes.

By placing an order you represent and warrant that you meet these eligibility requirements, that the information you provide is accurate, and that you have the training, facilities, and expertise appropriate to handle research compounds safely. We may decline to sell to, or refuse or cancel any order from, any person or organisation at our discretion, including where we reasonably believe these eligibility requirements are not met.

All Products are supplied strictly for in vitro laboratory research use only. They are NOT for human or veterinary use, consumption, application, injection, ingestion, or inhalation of any kind.

The Products are not drugs, foods, cosmetics, dietary supplements, or medical devices. They are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition in humans or animals, and they have not been evaluated or approved by any medicines, food, or health regulatory authority for any such purpose. No statement on the Site should be read as a medical, therapeutic, or clinical claim.

Products are sold as research materials only. Any use of a Product outside a controlled in vitro laboratory research setting is a misuse, is strictly prohibited, and is undertaken entirely at your own risk and responsibility.

Permitted use: You may use Products only for legitimate in vitro laboratory research carried out by, or under the supervision of, appropriately trained personnel using suitable facilities, equipment, and safety controls, and only in a manner permitted by all applicable laws.

Prohibited use: You must not, and must not permit any third party to: (a) administer, consume, or otherwise introduce any Product into the body of any human or animal; (b) use any Product for clinical, diagnostic, therapeutic, cosmetic, food, supplement, or veterinary purposes; (c) resell, supply, gift, or distribute any Product for human or animal consumption or for any of the prohibited purposes above; (d) repackage, relabel, or represent any Product as a drug, supplement, food, cosmetic, or consumer product; (e) remove or alter any research-use-only or safety labelling; or (f) use any Product for any unlawful purpose.

You are solely responsible for ensuring that everyone who handles a Product after it leaves our control is aware of and complies with these restrictions.

We ship worldwide, but the availability of a Product on the Site does not mean it is lawful to import, possess, or use in your country, state, or locality. You are solely responsible for knowing and complying with all laws, regulations, licensing requirements, and import controls that apply to you and to the Products you order.

You are the importer of record for any order shipped to you. You are responsible for any customs duties, taxes, permits, declarations, or other requirements, and for any consequences of ordering a Product that is restricted or prohibited in your jurisdiction. We are not responsible for shipments that are delayed, detained, seized, returned, or destroyed by customs or other authorities, and such events do not entitle you to a refund except as required by applicable law.

By ordering, you confirm that the Product is lawful for you to receive and use for research purposes at your delivery address.

We aim to describe Products, purity, and specifications accurately, and certificates of analysis (COAs) are available on request — through our messaging channels or by email — for reference, to support your own verification. Reference information, molecular data, and research summaries on the Site are provided for general informational purposes to qualified researchers and are not instructions for use.

Except for any documented specification expressly stated for a specific Product, the Products and all Site content are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, satisfactory quality, or fitness for a particular purpose. We do not warrant that any Product is suitable for any specific research application; determining suitability is your responsibility.

Nothing in this section limits any warranty or right that cannot lawfully be excluded under the laws applicable to you.

There is no checkout on the Site, and product listings and prices on the Site are an invitation to enquire, not an offer capable of acceptance. To order, you message us on Instagram or Telegram (the Site can pre-write your order message for you). We confirm availability and send you a secure payment link, and you place your order by paying through that link. Payment is processed by the payment provider named on the link, under that provider's terms. We never ask for card details in the chat or by email.

Prices are shown in US dollars (USD) by default. Any price shown in another currency is an approximate conversion, provided for convenience only. The exact amount and currency you will be charged is shown on the payment link before you pay, and may differ from the amount displayed on the Site because of exchange rates, fees, and taxes. Where a creator or affiliate code applies, you enter it at checkout on the payment link and the discount is shown there before you pay. Prices, availability, and specifications may change without notice.

Your payment through the link is an offer to purchase. No contract is formed until we expressly accept your order (for example, by a written order confirmation in the chat or by dispatching the Product). We may refuse, limit, or cancel any order — including before or after it is placed — for reasons including suspected ineligibility, prohibited or unlawful intended use, restricted destinations, stock limitations, or errors in pricing or product information. Where an obvious pricing or description error occurs, we are not obliged to supply at the incorrect price. You are responsible for any applicable taxes, duties, or charges not included in the quoted price.

We aim to dispatch accepted orders promptly, subject to stock, payment clearance, and destination screening. We ship by express courier worldwide; delivery takes about a week on average, but delivery timeframes are estimates only and are not guaranteed. Risk in a Product passes to you on delivery to you or your carrier; title passes once payment is received in full.

Because Products are research materials, returns are restricted. Except where required by applicable law, we accept returns only for Products that are unopened, unused, and in their original condition, notified to us within 7 days of delivery and returned in accordance with our instructions. We may decline returns of opened, used, temperature-sensitive, or otherwise compromised Products for safety and integrity reasons. Where a Product arrives damaged, defective, or materially not as described, contact us within 7 days so we can arrange a replacement, credit, or refund as appropriate.

If a parcel is confirmed lost or damaged in transit, we will reship the order once, free of charge, provided the problem is reported to us within a reasonable time and is confirmed by the carrier's tracking (or, for damage, by photographs); one free reship is available per order, as set out in our Shipping Policy and Refund & Returns Policy.

Refunds, where due, are issued to the original payment method, in the currency in which you were charged. We are not responsible for losses caused by incorrect delivery details you provide, refusal of delivery, or seizure by authorities.

The Site and its content — including the Helix Labs × Ethereal Cosmetics name, logos, branding, text, graphics, product descriptions, images, and the arrangement of all of the above — are owned by or licensed to us and are protected by intellectual property laws. All rights not expressly granted are reserved.

You may access and view the Site content for your own internal, non-commercial evaluation of whether to purchase Products. You must not copy, reproduce, republish, distribute, modify, or create derivative works from any part of the Site, or use any of our brand names or marks, without our prior written permission.

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, punitive, or exemplary loss, or for any loss of profit, revenue, data, or goodwill, arising out of or in connection with the Site, the Products, or these Terms, whether in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such loss.

To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with any Product or order is limited to the amount you actually paid to us for the Product giving rise to the claim.

You acknowledge that the Products are research materials sold on a research-use-only basis, and that you assume all risk arising from any use of a Product. We accept no liability whatsoever for any loss, injury, illness, death, or damage resulting from any human or veterinary use, consumption, or other misuse of a Product, or from any use that breaches these Terms or applicable law. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence or for fraud.

You agree to indemnify, defend, and hold harmless the operator of this site, trading as Helix Labs × Ethereal Cosmetics, and its owners, officers, employees, and suppliers from and against all claims, liabilities, damages, losses, fines, penalties, and costs (including reasonable legal fees) arising out of or related to: your breach of these Terms; your misuse of any Product; any human, veterinary, clinical, or other prohibited use of a Product by you or anyone who obtains it from you; your violation of any law or regulation, including import, export, and customs rules; or any misrepresentation you make regarding your eligibility or intended use.

These Terms, and any dispute or claim arising out of or in connection with them, the Site, or any Product (including non-contractual disputes), are governed by and construed in accordance with the laws of the operator's jurisdiction, without regard to conflict-of-law principles.

You agree that the courts of the operator's jurisdiction have exclusive jurisdiction to resolve any such dispute, except where mandatory local law gives you a right to bring proceedings elsewhere.

We may update or replace these Terms from time to time to reflect changes in our practices, our Products, or the law. The current version is the one published on the Site. Changes take effect when posted, unless we state otherwise.

Your continued use of the Site, or placing an order, after changes are posted constitutes acceptance of the updated Terms. We encourage you to review this page before each purchase. These Terms were last updated on 9 September 2026.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

These Terms, together with the notices and policies referenced in them, constitute the entire agreement between you and us regarding your use of the Site and the Products, and supersede any prior understanding on that subject. You may not assign or transfer your rights under these Terms without our consent; we may assign ours to a successor to our business or brand.
